Master Service Agreement (MSA)
Between Ryan Decker (“Consultant”) and Client (“Client”)
Effective Date: Date of checkout and subscription.
1. Scope of Services
Consultant will provide ongoing, hands-on operational support designed to help Client stay organized, responsive, and effective in their business. Support may include—but is not limited to—project coordination, admin workflows, systems setup, task management, client operations, and sales/process support.
Consultant will show up consistently, take ownership of priorities, and follow through on the work that keeps things moving. Specific focus areas will be determined collaboratively and adjusted as needed throughout the engagement.
2. Term and Renewal
This is a month-to-month subscription that begins upon payment and renews automatically every 30 days unless canceled by either party.
3. Payment Terms
Client agrees to pay $5,500 USD per month for Consulting services. Payment is collected in advance via credit card at the time of subscription. No partial refunds are provided for cancellations during a billing cycle.
4. Cancellation Policy
Client may cancel at any time by providing written notice before the next billing date. Services will continue through the end of the paid period.
5. Communication and Availability
Consultant will be available during standard business hours (Mountain Time) for async and scheduled communication. Meetings, updates, and deliverables will align with mutually agreed priorities and pace.
6. Confidentiality
All shared information—business, operational, or personal—will be kept confidential by both parties. This includes communications, documents, tools, strategies, and work product.
7. Intellectual Property
Any tools, templates, or systems created during the engagement remain the property of Consultant unless explicitly transferred in writing. Client receives a non-exclusive, non-transferable license to use them as part of this working relationship.
8. Independent Contractor
Consultant is an independent service provider, not an employee. Consultant retains discretion in how services are delivered and may use tools or vetted subcontractors to support delivery.
9. Liability and Indemnification
Consultant provides operational support, not legal, financial, or regulatory advice. Consultant is not liable for business decisions or outcomes. Client agrees to indemnify and hold Consultant harmless for any claims related to the use of services.
10. Governing Law and Dispute Resolution
This agreement is governed by the laws of the State of Utah. Any disputes will first attempt to be resolved informally. If unresolved, both parties agree to binding arbitration in Utah County, Utah.

By subscribing to the Consulting service and entering your payment information, you confirm that you have read, understood, and agreed to the terms above. This action serves as your legal signature.
