Consulting Terms of Service
Effective Date: Upon Subscription Parties: Ryan Decker ("Consultant") and the subscribing client ("Client")
By subscribing to this service, the Client agrees to these Terms of Service, which form a binding agreement between Consultant and Client.
1. Services Provided Consultant agrees to provide ongoing consulting services including, but not limited to:
Leadership support (initiative ownership, strategic input, team alignment)
Operational systems (workflows, documentation, dashboards)
Administrative functions (calendar, inbox, communication tracking)
Project and recruiting support (planning, sourcing, coordination)
Consultant and Client will align regularly on priorities. Services may evolve over time based on business needs. Scope is flexible but limited to Consultant’s capabilities as a solo operator.
2. Payment Terms The monthly fee is $5,000 USD, billed automatically every 30 days through the provided payment method. Payment confirms continuation of services for the next cycle.
No partial refunds will be issued.
Cancellation must occur prior to the next billing date to avoid renewal.
3. Term and Termination This agreement is ongoing month-to-month. Either party may terminate the agreement at any time by notifying the other party via email prior to the next billing cycle.
Consultant reserves the right to discontinue the service at the end of any paid period.
4. Schedule and Communication Consultant is available during standard business hours (Mountain Time), with one live working session per week and async support via email or shared tools.
Client agrees to respond to requests, updates, and deliverables in a timely manner.
5. Confidentiality All business information, documents, communication, and work shared during the engagement is confidential and shall not be disclosed to third parties without consent. This obligation survives the termination of this agreement.
6. Intellectual Property and Work Usage Consultant retains ownership of any templates, systems, SOPs, or original materials created unless otherwise agreed in writing.
Client receives full usage rights to all deliverables produced during the engagement for use within their business, excluding redistribution or resale.
7. Independent Contractor Relationship Consultant operates as an independent contractor, not an employee. Nothing in this agreement creates a partnership, joint venture, or employment relationship.
Consultant may engage subcontractors or third-party tools to support delivery. Client is not responsible for withholding taxes, benefits, or liabilities associated with employment.
8. Limitations and Liability Consultant is not providing legal, tax, financial, or compliance advice. Client assumes all responsibility for business decisions and outcomes resulting from implementation of work provided.
Consultant’s liability is limited to the fees paid for services rendered within the most recent 30-day period.
9. Publicity and Use of Name Client grants Consultant permission to list Client’s company name and role title (not confidential details) as a part of Consultant’s client roster unless otherwise requested in writing.
10. Governing Law and Dispute Resolution This agreement is governed by the laws of the State of Utah.
In the event of a dispute, both parties agree to attempt informal resolution first. If a resolution cannot be reached, any claim will be resolved through binding arbitration in Utah.
By subscribing, Client affirms that they have read, understood, and agreed to these Terms of Service.
